Antitrust and R&D agreements: The convenience of adopting a safe harbor or safety zone

Abstract

This article examines the research and development agreements, understanding them as private solutions to the “public good” (‘R&D spillovers’) and “capital market” failures. The different categories of these agreements (i.e, “pures” and “non-pures”, verticals and horizontals), as well as the different markets in which they may impact (i.e., product market, innovation market and technology market) are identified. Then, and considering the regulatory experience of the United States and the European Union, the article argues in favor of the adoption of a permissive approach by the competition authorities regarding these agreements, promoting the implementation of safety zones.
